Combat-Proven Robotics Meet AI Swarm Tech in $224 Million Deal Between Swarmer and Ratel Robotics

Texas-based defense technology firm Swarmer is acquiring Ukrainian uncrewed ground vehicle maker Ratel Robotics in a cash-and-stock deal valued at up to $224 million. The company is backed by Blackwater founder Erik Prince and an investment fund linked to former Google CEO Eric Schmidt.
The transaction serves as an early indicator of consolidation within Ukraine’s expansive defense industry. Over 500 companies currently compete for military orders across roughly 1,500 frontline combat units, The Wall Street Journal reports on September 10.

Originally founded in Ukraine and now headquartered in Austin, Texas, Swarmer develops artificial intelligence software that enables groups of drones to autonomously coordinate actions during combat missions.
Ratel Robotics manufactures uncrewed ground vehicles that secured approximately 37% of the Ukrainian Defense Ministry’s ground drone procurement budget during the first four months of this year. Their ground robots have participated in over 112,000 logistics and evacuation missions since the start of the year.
Swarmer created software that powered one of the first known instances of regular swarm technology deployment in combat, allowing drone groups to autonomously decide which unit strikes first and adapt in real time if an asset loses battery power.

First deployed in April 2024, the company's software has now been utilized in over 100,000 combat missions. In July, Swarmer also teamed up with American drone manufacturer Powerus to supply swarm-controlled drones to the Pentagon.
Market consolidation across the sector continues to accelerate as Western investors and defense firms seek combat-tested technologies developed during Russia’s full-scale invasion of Ukraine.
Last year, Ukrainian drone producer Vyriy Industries acquired controlling stakes in five local defense technology companies, while US investment firm MITS Capital merged four Ukrainian defense businesses into MITS Industries.
Additionally, a drone manufacturing company owned by Australian executive Francisco Serra-Martins recently acquired a smaller local competitor. Several companies, including Swarmer and firms owned by MITS, are registering corporate entities abroad to access international capital markets and larger defense procurement opportunities.
“From the perspective of Ukrainian companies, most of them cannot develop the infrastructure required to sell products globally. Therefore, they are looking for partners who can provide them with resources and help them enter new markets,” said Swarmer US Chief Executive Officer Alex Fink.
Swarmer Board Chairman Erik Prince stated that the company intends to continue purchasing and forming partnerships with defense technology and security firms that possess battlefield-tested products.
“The entry barrier to start a drone company is low because 1,500 combat commands can purchase what they believe works best,” said MITS Capital Chief Executive Officer Perry Boyle, noting that scaling remains far more difficult due to high financing costs and heavy reliance on large government contracts.
“The United States has the best capital markets in the world. And the largest defense market, so it makes sense for us to be here,” Prince said regarding international registration.
Former US Navy SEAL Prince, together with Swarmer, recently launched Vectus Air Defense Systems, a company designed to provide enterprises, militaries, and governments with services for designing and operating custom air defense systems.
Earlier, Ukrainian President Volodymyr Zelenskyy expressed hope that the US will support implementing the FREYJA anti-ballistic missile program, with the interceptor missile being built based on the Fire Point FP-7 ballistic missile.
“We are preparing our own FREYJA program. We very much hope that the Americans will support this program as well. But nevertheless, with the Europeans we will definitely achieve the desired result,” Zelenskyy said.
